By accessing or using the website www.zenixmicron.com ("the Website"), purchasing products from Zenix Micron, or engaging with our services, you agree to be bound by these Terms & Conditions ("Terms"). If you do not agree to these Terms, please do not use our Website or services.
Legal Agreement: These Terms constitute a legally binding agreement between you and Zenix Micron (Zenix Micron, Talwandi Musa Khan, Pasrur Road, Gujranwala, Pakistan).
2. Definitions
"Company," "We," "Us," "Our" - Refers to Zenix Micron, manufacturer and exporter of calcium carbonate.
"You," "Customer," "User" - Refers to any individual or entity accessing our Website or purchasing our products.
"Products" - Refers to micronized calcium carbonate grades Z201, Z202, Z203, Z204, Z205, Z206, Z207 and any other products manufactured by Zenix Micron.
"Website" - Refers to www.zenixmicron.com and all subpages.
"Export Order" - Any order shipped outside Pakistan.
3. Use of Website
3.1 Permitted Use
You may use our Website for lawful purposes only, including:
Learning about our calcium carbonate products and specifications
Requesting quotes and contacting our sales team
Placing orders for industrial calcium carbonate products
Accessing technical data sheets and certificates
3.2 Prohibited Use
You are prohibited from:

4. Products and Specifications
4.1 Product Grades
We manufacture the following micronized calcium carbonate grades:
Product specifications are subject to change without prior notice to reflect manufacturing improvements. The Certificate of Analysis (COA) provided with each shipment represents the actual specifications for that batch. For current specifications, please contact our technical team.
Technical Accuracy: While we strive for accuracy, typical properties are approximate and may vary. We recommend testing products for your specific application before bulk ordering.
5. Orders and Pricing
5.1 Order Placement
Orders can be placed through our Website contact form, email at contact@zenixmicron.com, or WhatsApp at +92 345 1206026. All orders are subject to acceptance by us.
5.2 Pricing
All prices are quoted in USD (US Dollars) for international orders
Domestic (Pakistan) orders are quoted in PKR (Pakistani Rupees)
Prices are EXW (Ex Works) Gujranwala, Pakistan unless otherwise specified
Prices do not include shipping, insurance, customs duties, or taxes
We reserve the right to change prices without prior notice
Quoted prices are valid for 30 days from the date of quotation
5.3 Order Confirmation
A binding contract is formed only when we send you an order confirmation email and Proforma Invoice. We reserve the right to refuse or cancel any order for any reason, including product availability, pricing errors, or credit issues.
6. Payment Terms
Samples: 100% advance payment
Orders up to $5,000 USD: 100% advance payment
Orders $5,000 - $25,000 USD: 50% advance, 50% before shipment
Orders above $25,000 USD: 30% advance, 70% against Bill of Lading copy
Established customers: Payment terms may be negotiated with credit approval
Accepted payment methods: Bank Wire Transfer (SWIFT), Letter of Credit (L/C at sight), and for small orders: Western Union, MoneyGram.
7. Shipping and Delivery
7.1 Delivery Timeline
Sample orders: 2-3 business days after payment
Small orders (1-5 MT): 5-7 business days after payment
Bulk orders (20+ MT): 10-15 business days after payment
Custom/coated grades: Add 3-5 business days
7.2 Shipping Terms (Incoterms 2020)
Default shipping term is EXW Gujranwala, Pakistan. We can also arrange shipping under FOB Karachi Port or CIF destination port upon request. Risk of loss transfers to buyer upon delivery to carrier.
7.3 Delivery Delay
We are not liable for delivery delays caused by customs clearance, carrier issues, natural disasters, strikes, trade restrictions, or other force majeure events. We will notify you of any known delays.
8. Quality Warranty and Disclaimer
8.1 Limited Warranty
Zenix Micron warrants that products will conform to the specifications stated in the Certificate of Analysis (COA) for the specific batch. This warranty is valid for 30 days from the date of delivery.
8.2 Warranty Exclusions
The warranty does not cover:
Products stored improperly (exposed to moisture, contaminants, extreme temperatures)
Products modified, mixed, or processed after delivery
Normal variation in particle size distribution (±10%)
Minor color or brightness variations that do not affect performance
8.3 Disclaimer of Warranties
EXCEPT AS EXPRESSLY PROVIDED HEREIN, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT PRODUCTS WILL MEET YOUR SPECIFIC APPLICATION REQUIREMENTS.
9. Limitation of Liability
To the maximum extent permitted by law, Zenix Micron shall not be liable for:
Any indirect, incidental, special, consequential, or punitive damages
Loss of profits, revenue, data, or business opportunities
Costs of substitute products or raw materials
Claims arising from product use in combination with other materials
Our total liability for any claim arising from product purchase shall not exceed the amount paid by you for the specific product giving rise to the claim.
10. Intellectual Property
All content on the Website, including but not limited to:
is the exclusive property of Zenix Micron and protected by Pakistan and international intellectual property laws. Unauthorized use, reproduction, or distribution is prohibited.
11. Export Compliance
As an exporter of calcium carbonate products, we comply with all applicable export control laws and regulations. You agree to:
Provide accurate information for export documentation
Comply with all import/export laws in your destination country
Not resell or re-export products to sanctioned countries or entities
Obtain any necessary import licenses or permits
We reserve the right to refuse orders from countries subject to trade sanctions or embargoes.
12. Indemnification
You agree to indemnify, defend, and hold harmless Zenix Micron, its employees, directors, and affiliates from any claims, damages, losses, liabilities, costs, or expenses (including reasonable legal fees) arising from:
Your use of our Website or products
Your violation of these Terms
Your violation of any applicable laws or regulations
Your misuse of our calcium carbonate products
13. Governing Law and Dispute Resolution
13.1 Governing Law
These Terms shall be governed by and construed in accordance with the laws of Pakistan, without regard to conflict of law principles. The United Nations Convention on Contracts for the International Sale of Goods (CISG) is expressly excluded.
13.2 Dispute Resolution Process
Negotiation: First, attempt to resolve disputes informally within 30 days by contacting us at contact@zenixmicron.com
Mediation: If negotiation fails, disputes shall be submitted to mediation in Gujranwala, Pakistan
Arbitration: If mediation fails, disputes shall be resolved by binding arbitration under the Pakistan Arbitration Act, 1940
Jurisdiction: For any legal action permitted under these Terms, you consent to the exclusive jurisdiction of courts in Gujranwala, Pakistan.
14. Privacy and Data Protection
Your use of our Website is also governed by our Privacy Policy. By using our Website, you consent to the collection and use of your information as described in the Privacy Policy.
15. Force Majeure
We shall not be liable for any delay or failure to perform our obligations due to causes beyond our reasonable control, including but not limited to:
Government actions, trade restrictions, embargoes, sanctions
War, terrorism, civil unrest, riots
Port closures, strikes, labor disputes, carrier delays
Raw material shortages, equipment failures, power outages
In such events, we will notify you promptly and our obligations shall be suspended for the duration of the force majeure event.
16. Modifications to Terms
We reserve the right to modify these Terms at any time without prior notice. Changes become effective immediately upon posting to the Website. Your continued use of the Website after changes constitutes acceptance of the modified Terms. Material changes will be notified via Website banner or email to registered customers.
The "Last Updated" date at the top of this page indicates when changes were made.
17. Severability
If any provision of these Terms is found to be unenforceable or invalid by a court of competent jurisdiction, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.
18. Entire Agreement
These Terms, together with our Privacy Policy and Return/Shipping Policy, constitute the entire agreement between you and Zenix Micron regarding your use of our Website and purchase of our products. Any prior agreements, representations, or understandings, whether written or oral, are superseded.
